1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the website, platform, and services operated by FameFunding Pte. Ltd., a company incorporated in Singapore ("FameFunding", "we", "our", or "us") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration

Certain features of the Services may require account registration. You agree to provide accurate, complete, and up-to-date information and to keep such information current. You are responsible for safeguarding your account credentials and for all activities conducted through your account.

4. Use of Services

You agree not to:

• Use the Services for any unlawful, fraudulent, or misleading purpose.
• Misrepresent your identity or affiliation.
• Interfere with or disrupt the integrity, security, or performance of the Services.

5. Platform Role, Matchmaking, and Partnerships

FameFunding operates as a platform to facilitate connections, introductions, and potential collaborations between startups, influencers, investors, and other participants. The Services may include automated or manual matchmaking, curated introductions, and facilitation of communications, including interactions that may continue outside the platform through email, messaging applications, calls, meetings, or other channels.

In certain cases, FameFunding may be directly involved in a startup as a founder, shareholder, or stakeholder. Where this occurs, FameFunding's role and responsibilities are limited strictly to that capacity, and any applicable agreements or disclosures will expressly reflect such involvement. FameFunding is not responsible for the actions, obligations, or performance of such startups beyond its stated role.

FameFunding may publish or communicate opinions, reviews, comments, or recommendations regarding startups, influencers, or other participants. Such information represents FameFunding's judgment only and does not constitute investment advice, endorsements, guarantees, or assurances of performance, success, or outcomes. Users are solely responsible for conducting their own independent analysis, due diligence, and decision-making.

In all other cases where FameFunding does not hold an equity interest or direct role, FameFunding acts solely as a facilitator. Any agreements, transactions, or arrangements entered into as a result of introductions or matchmaking are made directly between the relevant parties. FameFunding is not a party to such agreements and shall not be responsible or liable for any acts, omissions, disputes, losses, or obligations arising therefrom.

6. No Investment Advice or Offering

The Services do not constitute investment advice, legal advice, financial advice, or a recommendation to invest in any security or business. FameFunding does not act as a broker-dealer, investment adviser, or crowdfunding intermediary.

Nothing on the platform constitutes an offer, solicitation, or invitation to buy or sell securities in any jurisdiction. All investment-related decisions are made solely by users at their own risk.

7. Fees and Payments

FameFunding may charge fees for certain Services. Any applicable fees will be disclosed prior to use. By using paid Services, you agree to pay all applicable fees and charges.

8. Content Ownership and License

User Content: By submitting content to the platform, you grant FameFunding a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content solely for the operation and promotion of the Services.

Platform Content: All content provided by FameFunding is owned by or licensed to FameFunding and protected by intellectual property laws. Unauthorized use is prohibited.

9. Confidentiality

Certain information exchanged through the platform may be confidential. You agree to maintain confidentiality and not disclose such information without proper authorization.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal data.

11. Termination

FameFunding reserves the right to suspend or terminate access to the Services at any time, with or without cause. Where reasonably practicable, notice may be provided; however, immediate action may be taken where necessary to protect the Services, users, or legal interests.

12. No Guarantee of Outcomes

FameFunding does not guarantee any results, outcomes, funding success, influencer performance, or commercial benefits arising from use of the Services.

13. Limitation of Liability

The Services are provided "as is" and "as available". To the fullest extent permitted by law, FameFunding shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Services.

14. Indemnification

You agree to indemnify and hold harmless FameFunding from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Assignment

FameFunding may assign or transfer these Terms in connection with a merger, acquisition, restructuring, or sale of assets without restriction.

18. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
